These Terms & Conditions ("Terms") form a binding agreement between you and ZionStar Ed-Tech ("ZionStar", "we", "us") covering your use of our website at zionstar.in, our products Sublime Intelligence and Sublime LMS, and our engineering services (the "Services").
By accessing the Services — or by signing an order form or statement of work that references these Terms — you agree to be bound by them. If you are accepting on behalf of an organization, you confirm you have authority to bind that organization. If you do not agree, do not use the Services.
These Terms govern usage of the Services. How we handle personal data is covered separately in our Privacy Policy.
The Services are intended for organizations and professionals. To use features that require an account, you must register accurately and keep your details current.
You agree to use the Services lawfully and responsibly. The following are strictly prohibited:
You retain ownership of the content, course material, and data you submit ("Customer Content"). You grant ZionStar a limited license to host and process it solely to operate and improve the Services for you.
You are responsible for your Customer Content and for having the rights and permissions needed to use it. You confirm it will not infringe third-party rights or contain unlawful or harmful material. We may remove content that breaches these Terms.
Paid Services are governed by the order form, proposal, or statement of work agreed with you, which sets scope, fees, and billing terms.
All software, designs, documentation, and the ZionStar, Sublime Intelligence, and Sublime LMS names and logos are owned by or licensed to ZionStar and protected by intellectual-property law.
During your subscription, we grant you a limited, non-exclusive, non-transferable, revocable license to use the Services for your internal business or educational purposes. All rights not expressly granted are reserved. You may not remove or obscure any proprietary notices.
The Services may connect with third-party platforms you choose to enable — such as Canvas, Moodle, Open edX, and Zoho CRM. Your use of those platforms is governed by their own terms, and ZionStar is not responsible for their performance or availability.
We work to keep the Services reliable and secure, and provide support in accordance with your agreement. We may perform maintenance, update features, or modify the Services, and will give reasonable notice of material changes that affect you.
We may occasionally need to suspend access for maintenance, security, or legal reasons; we aim to minimize and communicate any disruption.
Except as expressly stated in a signed agreement, the Services are provided "as is" and "as available" without warranties of any kind, express or implied, including merchantability, fitness for a particular purpose, and non-infringement, to the fullest extent permitted by law.
We do not warrant that the Services will be uninterrupted or error-free, though we engineer them to enterprise standards of reliability and security.
To the maximum extent permitted by law, ZionStar will not be liable for indirect, incidental, special, consequential, or punitive damages, or for lost profits, revenue, data, or goodwill arising from your use of the Services.
Our total aggregate liability for any claim relating to these Terms will not exceed the fees you paid for the Services in the twelve months before the event giving rise to the claim.
You agree to indemnify and hold harmless ZionStar, its officers, employees, and agents from claims, damages, and expenses arising from your Customer Content, your use of the Services, or your breach of these Terms.
These Terms apply for as long as you use the Services. We may suspend or terminate access if you materially breach them or create risk for us, other users, or third parties.
You may stop using the Services at any time. On termination, your license ends; clauses that should survive — intellectual property, fees accrued, disclaimers, liability limits, and governing law — continue to apply.
These Terms are governed by the laws of India, without regard to conflict-of-law rules. The courts of Tamil Nadu, India have exclusive jurisdiction over any dispute, unless applicable law requires otherwise. Before formal proceedings, both parties agree to attempt good-faith resolution.
We may revise these Terms to reflect changes to the Services or the law. Material revisions will be marked with a new "Last updated" date and, where appropriate, additional notice. Continuing to use the Services after changes take effect means you accept the updated Terms.
